The Role
As Counsel, Corporate and Employment, you will be a key strategic legal resource reporting to the Director of Corporate and Employment. You'll provide timely legal advice, counsel, and representation on general corporate and compliance matters, with occasional employment and workplace law support. This is an excellent opportunity to develop deep business knowledge while supporting a mission-driven organization.
Key Responsibilities
- Corporate Law & Transactions: Maintain corporate files for related entities and affiliates, prepare board resolutions, file periodic disclosures, and ensure compliance with jurisdictional requirements.
- Legal Research & Analysis: Research corporate law issues and assess legal risks while providing solutions for dispute resolution.
- M&A Support: Assist with merger and acquisition transactions from due diligence through closing, coordinating with internal teams and external counsel.
- Contract Management: Review contracts and transaction documents; develop recommendations on corporate structures and transactions.
- Global Compliance: Advise Finance and Business partners on corporate issues across U.S., Canada, EU, Brazil, and other expanding jurisdictions with compliance expertise.
- Regulatory Monitoring: Stay informed of regulatory and legislative changes, advising stakeholders proactively.
- Employment Law Support: Provide occasional employment and workplace law guidance as needed.
- Strategic Projects: Lead various legal projects and tasks supporting organizational growth.
What We're Looking For
You bring strong expertise in corporate law, M&A transactions, and compliance. You're comfortable working in a fast-paced, mission-driven environment where legal counsel directly impacts business decisions. Your ability to communicate complex legal concepts clearly to non-lawyers is essential, as is your experience managing multiple jurisdictions and developing deep business acumen.
